Managing Director, Loan Syndications

Capital One is seeking a Managing Director for its Loan Syndications team based in New York. This individual will be responsible for working with the bank’s relationship managers to identify, structure, and win loan mandates that generate syndication fee income. The role will primarily support Capital One’s Sponsor and Mid-Corporate commercial businesses

Responsibilities:
Work closely with Capital One bankers to identify and win capital markets mandates through targeted and sustained marketing, and proactive pitch presentations.

Devise key syndication terms including deal economics/fees in order to achieve a successful syndication; review credit proposals, and participate in the internal deal review/approval process with key partners

Work with the Sales Desk to craft the syndication strategy

Facilitate the ratings agency process (if applicable)

Advise business partners on current conditions and trends in the syndicated loan market

Lead the capital markets approval process on any deal where Capital One is taking market underwriting risk

Lead the management and execution of the syndication process when Capital One is the Lead or has a significant role; including oversight of junior team members in the deal execution and closing process, and review/negotiation of capital markets-pertinent aspects of the Credit Agreement

Oversee team members analytical work, comparable deal information, and any internal approval or syndication/ marketing materials

Work with Head of Capital Markets to Identify and oversee implementation of new strategic initiatives/processes to further the development of a robust and scalable end-to-end syndications business

The Ideal Candidate will Possess:
Strong knowledge and experience in the underwriting, analysis and syndication of leveraged loans

Strong knowledge and experience structuring different types of financings, with an emphasis on leveraged middle-market transactions

Strong knowledge of capital markets products and corporate finance

Possess a strong network of relevant market contacts

  • Support structuring, distributing, and administering PUB-agented loan transactions in order to streamline the syndication process and generate fee income.

  • Support senior leaders in the negotiation of large, syndicated loan transactions in conjunction with the relationship management teams. Make recommendations on terms and conditions in order to win the business and execute a successful syndication.
  • Manage inter-Bank relationships, including legal documentation (participation and/or inter-creditor agreements).
  • Create deal memos / deal books for lead-bank transactions. Manage transaction sites and information flow to participant banks.
  • Support the management of existing agented transactions to ensure all Lead Bank duties are fulfilled and customer experience is exceptional.

Summary

The Analyst in Loan Syndications will support the Commercial Real Estate Loan Syndications team by playing an integral role in supporting debt financings for commercial real estate and healthcare real estate customers. The Syndication Loans Specialist will work closely with the Manager, Syndication Loan, Market Leaders, Lenders, Relationship Managers, and appropriate internal departments to develop and grow a Loan Syndication business in line with VNB’s strategic objectives.
 
Responsibilities include but are not limited to:
  • Support the Manager, Syndication Loans in every aspect of the business; this includes the ongoing build out of the loan syndication department for Valley National Bank, including policies, processes, and strategy for business development.
  • Lead the maintenance and grow strategic relationships in the corporate and financial institution market segments primarily in the less than $1B bank market segment; this includes but is not limited to large corporate, middle market, specialized, real estate, and wealth management market opportunities as well as, at times, all sizes of financial institutions.
  • Be the lead on sell side syndications and support buy side when needed; this includes being a conduit for incoming opportunities.

Position Summary

Reporting to the Senior Managing Director, the Analyst – Leveraged Finance will support the senior deal professionals working with private equity clients in the syndication of LBOs, refinancings and recapitalizations. This position encompasses pitching, marketing, approvals and execution of transactions. The analyst will work closely with the credit and client coverage teams as well as investors during the syndication process. This role will assist in the entire syndication process including data analysis, comparables, preparation of marketing, syndication and rating agency materials, legal documentation review and internal deal pricing and approval.

Responsibilities

Assist with the marketing and execution of syndicated loan transactions by supporting senior capital markets professionals in the following capacity:

  • Create marketing materials including pitches for new business.
  • Assist in the preparation of charts, tables and written content for confidential information memoranda, lender presentations, and rating agency presentations.
  • Utilize research tools (including data bases, Capital IQ, LCD, Bloomberg, Edgar and Loan Connector) effectively to obtain market information and data and generate market comparables for proposed transactions.
  • Partner with credit teams to analyze and draw conclusions from data room information, financial statements, quality of earnings reports and MD&A.
  • Analyze financial sponsor models to understand drivers of cash flow and leverage.
  • Support senior syndicators during investor presentations and sales meetings.
  • Coordinate responses to investor inquiries during the syndication process.
  • Participate in capital markets due diligence process, Capital Markets pipeline, deal review and approval sessions.
  • Maintain deal databases.

Qualifications and Requirements

Basic Qualifications:

 

  • Bachelor’s degree with a minimum of 1 to 3 years of experience in leveraged lending or other capital markets products.
  • Proficient in Microsoft Office, including Word, Outlook, PowerPoint and Excel and demonstrated ability to learn new systems quickly.

  • Must have unrestricted authorization to work in the United States
  • Must be willing to comply with pre-employment screening, including, but not limited to, drug testing, reference verification and background check

Business Overview:

The Leveraged Finance (“LF”) Group mandate is to provide financing for leveraged buy-outs, recapitalizations, corporate acquisitions and refinancing and make direct equity co-investments. The group is focused on originating and leading non-investment grade debt financings for corporates and financial sponsors.

The group is seeking an Analyst to work with Senior Origination members in New York.

Responsibilities:

    • Provide deal support to a team of originators.
    • Perform credit analysis, due diligence, financial statement analysis and cash flow projection modeling.
    • Conduct issuer due diligence and identify significant business, industry and financial strengths and risks.
    • Assist in production of internal credit / capital market memoranda that detail underwriting requests and various external client pitches.
    • Assist in the underwriting and syndication of leveraged credit facilities, including the production of marketing materials (bank book, lender slides, rating agency presentation) and the processing of investor requirements. Assist with investor Q&A during the syndication process, and answer investor questions on the transaction in market.

Minimum Required Qualifications:

  • Performing and reviewing detailed credit analysis on a wide range of companies across numerous sectors, including evaluation of historical and projected financial performance, assessment of the outlook and historical growth of the issuer’s industry, and a complete breakdown of the company’s business segments (historical trends by product, customer, supplier, end market and service)
  • Performing financial modeling of leveraged buy-out (LBO) transactions.
  • Advanced Microsoft Suite experience (Excel, PPT, Access, etc.).

Preferred qualifications:

  • Bachelor’s degree or foreign education equivalent in Accounting, Finance or Business Administration
  • Minimum of 1 year of relevant banking experience, including executing Senior or High Yield non-investment grade debt underwriting, mezzanine financing, or merger & acquisitions.

FINRA Registrations Required:

  • Series 79, 63 and SIE preferred.
